Buyer’s agreement

This Buyer’s Agreement is the integral part of Terms of Service and is made between the buyer and MHEGURU.
All capitalized terms used in the Terms of Service shall apply to this Buyer’s Agreement with the same meanings ascribed to them in the Terms of Service.
By submitting buyer’s information to us and/or buying products through the Website, the buyer agrees to proceed on the basis of this Buyer’s Agreement and Terms of Service. Please read this agreement carefully.

Process of Buying :-

MHEGURU has a wide pool of suppliers on Pan-India basis (Created by the strong network and registered after strict verification process) of spare parts for Material handling equipment. The same are being maintained on regular basis and the new suppliers are being added periodically in MHEGURU’s database.
The buyer sends an enquiry for spare parts on the MHEGURU platform which shows the buyer’s intent to buy requested spare parts. Please include true, complete and accurate information in your request, including your contact details and delivery address.
If the buyer does not have an account, it will have to first register with MHEGURU before any enquiry is processed. MHEGURU will use your e-mail address as a username. The password will be generated and sent to your e-mail address together with all access information.
On receipt of the enquiry, MHEGURU generates the various options for the same spare Parts on the basis of various parameters and it will be provided to the Buyers, out of which he has to select the most suitable one and place the order. This simplifies the complete process of purchase of necessary spare parts for our buyers.
Buyer’s contact details are not available for a supplier until the buyer selects the supplier on the basis of the terms.
All payment and delivery conditions from the supplier to the buyer shall be negotiated directly between the supplier and the buyer outside of the Website.
When the Buyer is dealing with MHEGURU as a vendor, than the payment terms can be mutually agreed upon.
MHEGURU shall not be liable for any actions (inactions) of the supplier when Buyer is dealing directly with the Supplier. Please read the Terms of Service for more information on no liability and indemnification terms and conditions.

Delivery and Payment of Products :-

All conditions of the transaction such as shipping method, payment of products, term of delivery shall be agreed between the buyer and the supplier directly. The supplier shall ship the products directly to the buyer.

Acceptance and Refund :-

Upon receipt of the products the buyer shall inspect the product and may accept or reject the products for defects or faults revealed by buyer’s inspection. The buyer and the supplier shall agree acceptance and refund conditions directly.

Compliance :-

The buyer agrees to comply with all applicable laws and regulations associated with using the MHEGURU Website.

Miscellaneous :-

Any matters not included in this Buyer’s Agreement shall be regulated by the Terms of Service.

Supplier’s agrrement

This Supplier’s Agreement is the integral part of Terms of Service and is made between the supplier and Accel Techinnova Pvt Ltd (MHEGURU).
All capitalized terms used in the Terms of Service shall apply to this Supplier’s Agreement with the same meanings ascribed to them in the Terms of Service.
By submitting your supplier information to us and/or selling products through the Website, the supplier agrees to proceed on the basis of this Supplier’s Agreement and Terms of Service. Please read this agreement carefully.

Subscriptions :-

Supplier can use the Website only after paid subscription registration. Subscription charges are very nominal as compared to the other commercial sites.
Tariff plans are available at https://mheguru.com/supplier/features. Supplier may use certain features available for him in accordance with his subscription.MHEGURU may change its tariff plans on the Website from time to time in its sole discretion.
MHEGURU allows the following payment methods: Netbanking transfer or through our payment gateway linked on the website.
Your subscription will be activated immediately after a payment or a payment order (for wire transfer or direct payment) is received. Subscription is to be renewed periodically as per the chosen plan.
If a Supplier wishes to discontinue, Refund will be processed within 15 days of his request. But we would still like him to continue.

Warranties :-

Supplier warrants that the products he sells to the buyer will comply with all applicable laws; be of merchantable quality and free of defects in workmanship and materials; not infringe the patent, copyright, trademark or trade secret rights of any person; and be sold to the buyer at all times at competitive prices and best possible terms to get the best chance of getting the maximum business.
The supplier shall accurately describe products and all terms of sale for the Buyer.
The Supplier shall not sell illegal, counterfeit or stolen products. It is prohibited to use the Website for any unfair acts or otherwise violate this Supplier’s Agreements and Terms of Services. MHEGURU reserves the right to suspend or terminate the subscription without returning any subscription fees paid by the supplier.

Trading Process :-

MHEGURU collects buyers’ requests for spare parts on the website and provides the supplier with the access to the requests in accordance with the tariff plan.
If the supplier has spare parts as specified in the request and available in stock, his details will be shared with the Buyers’. The buyer receives quotes and information about the supplier, including his contact details.
The supplier will not have access to buyer’s contact details until the buyer accepts his quote.
All payment and delivery conditions shall be negotiated directly between the supplier and the buyer.
After successful or unsuccessful completion of the transaction the buyer may leave his feedback about the supplier. Such feedback will be available on the Website for other buyers.

Intellectual Property :-

Supplier represents and warrants that the sale or use of the products provided to the buyer will not infringe or contribute to the infringement of any patents, trademarks, or copyrights anywhere in the world. If any product, or part thereof is held to constitute an infringement, the supplier will, at its expense, obtain for the buyer a license to use the item, or replace or modify the same, in a manner satisfactory to the buyer, so as to avoid the infringement.

Indemnification :-

Supplier will indemnify, hold harmless and reimburse ATIPL (MHEGURU), its directors, employees, agents, customers and assigns from and against all claims, suits, actions, proceedings, damages, losses and expenses, including attorneys’ fees, arising out of, related to, or resulting from any breach of any representation, warranty or agreement made by the supplier in relation to any transaction with the use of the Website, or any negligence or willful misconduct of the suppliers in connection with any transaction with the use of the Website.

Compliance :-

The supplier agrees to comply with all applicable laws and regulations, including export and import, competition laws and regulations including paying all fees and applicable taxes associated with using and trading with the use of the Website.

Miscellaneous :-

Any matters not included in this Supplier’s Agreement shall be regulated by the Terms of Service.

We provide the best supplier options to the buyers so that they can save time and cost in relation to the purchase of the Spare parts from Pan-India.
The following Terms of Service (the “Terms”) describe the terms and conditions applicable to your access and use of our Website. This agreement sets forth the legally binding terms and conditions for your use of the Website and services provided by ATIPL.

MHEGURU for Purchasing Spare Parts :-

Our Spare Parts assistance section on the website caters to all our registered members’ spare parts purchase request and provide various options to them to select from and directly place orders. MHEGURU is not directly involved in the transaction between buyers and suppliers, and we have no control over the quality, safety, morality or legality of any aspect of the items listed, the truth or accuracy of the listings, the ability of suppliers to sell items or the ability of buyers to pay for items.
We are constantly changing and improving our Services. We may add or remove certain functionalities and features on the Website at any time.

Acceptance and Modifications :-

You agree that we may update the Terms at any time and in our sole discretion by posting the relevant revised and restated Terms on the Website.
In the event a user continues to use the Website and Services subsequent to the effective date of the updated Terms, the user is deemed to have agreed to the updated Terms. When updated Terms come into effect, the updated Terms shall supersede the previous version of the Terms.

Eligibility :-

Breach :-

Without limiting any other remedies, ATIPL may, without notice, and without refunding any fees, issue a warning to the user, temporarily suspend the user, terminate the user’s account, prohibit access to the Website, and take technical and legal steps to keep the user off the Website and refuse to provide Services to the user if ATIPL has reasons to believe that the user is in breach of these Terms.
ATIPL reserves the right in its sole discretion to remove any material displayed on the Website which it reasonably believes is unlawful, could subject ATIPL to liability, violates these Terms or is otherwise found inappropriate in ATIPL opinion.

ATIPL (MHEGURU) for Trading :-

For any Services, ATIPL does not represent either the supplier or the buyer in specific transactions, but does the registration of both the Suppliers and the Buyers after stringent due diligence process and assures of the quality, safety, lawfulness or availability of the products or services offered for sale on the Website or the ability of the suppliers to complete a sale or the ability of buyers to complete a purchase.
Each Supplier shall fully assume the responsibility for any damages, claims, liabilities, costs, harms, inconveniences, business disruptions or expenditures of any kind that may arise a result of or in connection with any difference in the supply of the material to the Buyers.
User agrees to provide all information and materials as may be reasonably required by ATIPL (MHEGURU) in connection with your transactions conducted on, through or as a result of use of the Website or Services.

Warranties and Limitation of Liability :-

The User agrees to indemnify and hold ATIPL and its subsidiaries, affiliates, employees, partners and licensors harmless from any and all claims, damages, losses or liabilities, including reasonable attorneys’ fees, made by any third party due to or arising out of content you submit, post, transmit, modify or otherwise make available through the Website and Services, your use of the Website and Services, your connection to the Website and Services, your violation of the Terms, or your violation of any rights of another.
